Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Numorph/নিউমর্ফ, a partnership registered in Bangladesh ("Numorph," "we," "us," or "our"), governing your access to and use of our AI-powered sales, support, and business automation services.
By submitting your onboarding information or using our services in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services.
Our Services
What We Provide
Numorph provides AI-powered automation services for businesses, including AI sales and support agents, business process automation, and related tools (collectively, the "Services"). Our Services are delivered through integrations with third-party platforms including Meta Messenger, WhatsApp, Instagram, and other communication channels.
How the Agreement is Formed
Your agreement with us begins when you submit your onboarding information and we confirm your activation. These Terms apply from that moment and remain in effect until terminated by either party.
Service Availability
We will make reasonable efforts to ensure our Services are available and functioning at all times. However, we do not guarantee uninterrupted availability. Scheduled maintenance, third-party platform outages (such as Meta), or events beyond our control may affect service availability. We will endeavor to notify you of planned downtime in advance.
Service Changes
We reserve the right to modify, update, or discontinue any feature or aspect of our Services at any time. We will provide reasonable notice of any material changes that affect your use of the Services.
User Responsibilities
Account Registration
To use our Services, you must provide accurate and complete information during onboarding, including your name, business name, email address, phone number, and WhatsApp or Telegram contact. You are responsible for ensuring this information remains accurate and up to date.
Single Account Use
Each account is registered to and managed by one authorized individual. Accounts are non-transferable. You are solely responsible for all activity that occurs under your account.
Your Business Content
To configure and operate your AI agent, you will provide us with business content including product listings, pricing, FAQs, delivery policies, and other business-specific information. You retain full ownership of all business content you provide to us. By providing this content, you grant Numorph a limited, non-exclusive license to access and use it solely for the purpose of configuring and operating your AI agent. We will not use your business content for any other purpose.
Client Responsibility for Communications
Your AI agent communicates with your customers on your behalf. Numorph is responsible for ensuring the AI system functions as designed, including maintaining appropriate guardrails. The Client is solely responsible for the accuracy and completeness of all business content used to configure the AI agent — including product information, pricing, policies, and FAQs — and for ensuring their customers are aware they may be interacting with an AI system. Any communication errors arising from inaccurate or incomplete business content provided by the Client are the Client's responsibility.
Platform Compliance
You are responsible for ensuring your use of Numorph's Services complies with the terms and policies of any third-party platforms connected to your account, including Meta's Platform Terms, WhatsApp Business Policy, and Instagram's Platform Policy.
Acceptable Use
What You May Use Our Services For
Our Services are intended for legitimate business purposes including customer support, sales assistance, order management, and business communication automation.
Prohibited Industries & Content
You may not use our Services for any of the following business types or content categories:
Gambling, betting, or games of chance of any kind
Adult content, pornography, or sexually explicit material
Any content that sexualizes or exploits minors
Illegal products, services, or activities under Bangladeshi law or applicable international law
Prohibited Conduct
You may not use our Services to:
Send spam, unsolicited bulk messages, or deceptive communications to any individual
Impersonate any person, business, or entity without authorization
Collect personal data from users without their knowledge or consent
Harass, threaten, defame, or harm any individual
Attempt to circumvent, disable, or interfere with our systems, security measures, or AI guardrails
Reverse engineer, decompile, or attempt to extract the underlying code or logic of our Services
Resell or sublicense access to our Services to any third party without our prior written consent
Consequences of Violation
We reserve the right to suspend or terminate your account immediately and without notice if we determine that you have violated any of these provisions. We also reserve the right to report prohibited activity to relevant authorities where required by law.
Payments & Subscriptions
Subscription Plans
Access to our Services is provided on a subscription basis. Applicable plans, pricing, and query limits are communicated to you during onboarding and may be updated from time to time. We will notify you of any pricing changes with reasonable advance notice.
Payment
Payments are processed via bKash or SSLCommerz. By subscribing, you authorize us to charge the applicable fees to your selected payment method on a recurring basis for the duration of your subscription.
Taxes
All prices are exclusive of applicable taxes. You are responsible for any taxes, duties, or levies applicable to your subscription under Bangladeshi law or the laws of your jurisdiction.
Cancellation
You may cancel your subscription at any time by contacting us at hello@numorph.net. Cancellation takes effect at the end of your current billing period. You will retain access to the Services until the end of the paid period.
Refunds
Subscription fees are not automatically refundable upon cancellation. Refund eligibility is assessed on a case-by-case basis depending on the reason for cancellation and the circumstances involved. To request a refund, contact us at hello@numorph.net within 7 days of your cancellation date with a clear explanation of your reason. We will review each request and respond within 5 business days. Numorph's decision on refund eligibility is final.
Account Data After Cancellation
Following cancellation or termination of your account, your configuration data and business content will be retained for 30 days, after which it will be securely deleted. You are responsible for retrieving any data you need before this period expires.
Non-Payment
If a payment fails and remains unresolved after 7 days, we reserve the right to suspend your account until payment is made. If payment remains outstanding for 30 days, we may terminate your account.
Liability, Disputes & General Terms
Disclaimer of Warranties
Our Services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy, reliability, completeness, or fitness for a particular purpose of our Services. We do not guarantee specific business outcomes, sales results, or revenue increases as a result of using our Services. Numorph is not liable for any miscommunication, inaccuracy, or error arising from business content provided by the Client to configure the AI agent.
Limitation of Liability
To the maximum extent permitted by applicable law, Numorph shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with your use of our Services, including but not limited to loss of revenue, loss of data, or loss of business opportunity. Our total liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to Numorph in the three months preceding the event giving rise to the claim.
Your Indemnification of Numorph
You agree to indemnify, defend, and hold harmless Numorph and its partners, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of our Services, your violation of these Terms, your violation of any applicable law or regulation, or any claim by a third party arising from communications sent by your AI agent.
Governing Law & Disputes
These Terms are governed by the laws of the People's Republic of Bangladesh. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within 30 days of written notice, disputes shall be submitted to the competent courts of Dhaka, Bangladesh.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of our Services after the effective date of any changes constitutes your acceptance of the updated Terms.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy available at numorph.net/privacy-policy, constitute the entire agreement between you and Numorph with respect to the Services and supersede all prior agreements or understandings.
